AbbVie to acquire Apogee Therapeutics in $10.9 billion immunology deal

AbbVie has agreed to acquire Apogee Therapeutics in an all-cash transaction valued at approximately $10.9 billion, expanding its pipeline of clinical-stage therapies for inflammatory and immunological diseases.

Under the definitive agreement announced Monday, the North Chicago, Illinois-based drugmaker will pay $135.11 per share for all outstanding Apogee shares. The boards of both companies have unanimously approved the deal, which is expected to close in the third quarter of 2026, pending Apogee shareholder approval and customary regulatory clearances.

The acquisition adds Apogee's pipeline of antibody-based therapies for conditions including atopic dermatitis and asthma. AbbVie said the deal will strengthen its immunology business while expanding its clinical presence in respiratory disease.

Apogee's lead candidate, zumilokibart (APG777), is a half-life extended monoclonal antibody targeting interleukin-13 (IL-13). The late-stage therapy is being developed for atopic dermatitis, with additional development planned in other inflammatory diseases. According to the companies, Phase 2 data showed clinically meaningful improvements in skin clearance, itch reduction and disease control, while supporting maintenance dosing every three or six months.

The biotechnology company's pipeline also includes APG273, a combination of zumilokibart and APG333, an antibody targeting thymic stromal lymphopoietin (TSLP). The program is being developed for asthma. The companies said early-stage studies suggest the combination could support quarterly or twice-yearly dosing.

"The acquisition of Apogee further builds on our existing leadership, strengthening our ability to deliver innovative medicines to patients who need better options while also creating significant long-term value for shareholders," said Robert A. Michael, chairman and CEO of AbbVie.

Apogee CEO Michael Henderson, M.D., said the transaction positions the company's pipeline "to reach their full potential" while expanding its impact for patients.

AbbVie said it expects the acquisition to become accretive to adjusted diluted earnings per share beginning in 2032.
